1. Acceptance of Terms
By accessing and using our website (https://mcodx.com) and our mobile application and game development services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services or website. These terms apply to all visitors, users, clients, and others who access or use the Service.
2. Services Description
MCodX provides custom software development services, specifically focusing on:
- Cross-platform and native mobile application architecture and development.
- 2D and 3D game development for mobile, PC, and console platforms.
- UI/UX Design, prototyping, and wireframing.
- Backend infrastructure design, API development, and cloud deployment.
- Minimum Viable Product (MVP) rapid development strategies.
All specific deliverables, timelines, and costs for custom development work are negotiated and agreed upon separately in individual Statement of Work (SOW) or Master Service Agreements (MSA) documents signed by both parties.
3. Payment Terms
For custom development projects, payment schedules and milestones act as the binding financial agreement. Unless otherwise specified in an active SOW, invoices are net 15 days. We reserve the right to pause repository access, server hosting, or development progress on any account with invoices past due by more than 30 days. All initial deposits are non-refundable once discovery architecture has commenced.
4. Intellectual Property
Upon final payment of all invoices related to a specific project milestone, MCodX legally transfers all applicable Intellectual Property (IP) rights, including source code, design assets, and compiled binaries, to the client, unless otherwise explicitly stipulated in the respective SOW. MCodX retains the right to utilize non-proprietary code snippets, general structural algorithms, and open-source modifications in future projects.
5. Limitation of Liability
In no event shall MCodX, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
